About Limited Company Articles
Limited company articles are its constitution and defines how the company can operate,
both internally and in relation to outside people and organisations.
Company articles are very flexible and subject to any conditions laid down with
them they may be changed.
There are different types of limited company articles.
The basic type is known as the Companies Act 2006 model articles. This is the legal
minimum and was drafted to make matters as simple as possible. We do not recommend these for trading companies.
In practice we recommend that a trading company, owned and directed by a single
person uses our special articles, available with our popular package. These special
articles have been prepared for us by a leading firm of commercial solicitors and
encompasses a number of things not in the model articles.
For companies that have two or more people owning or directing it we recommend our
advanced articles which cater for many of the potential disputes and issues that
commonly arise between parties running a company. In effect it is similar to a shareholders’
agreement but at a fraction of the cost. These have also been drawn up the above
